TUES Statutues
Aims
- To support and promote employee share ownership in Thales and the interests of the employee shareholders past and present.
- To defend the interests of these shareholders by relaying information between the employee shareholder representative on the board of Thales and/or senior management in UK and/or France and the UK employee shareholders, including informing them of particular aspects of the UK employee shareholders' position.
Membership
- .All current and former employees owning shares in Thales scheme are deemed to be full members including those who have obtained the shares through Thales Stock Option schemes.
- The TUES committee can by majority vote exclude from membership any employee or pensioner who actively works against Thales, any Thales UK company, TUES or FAST.
General Meeting
- One representative per company site will be eligible to attend the Annual General Meeting (AGM) which will be chaired by the chairman of TUES. Additional representatives will be subject to permission of the TUES committee.
- The AGM may modify these statutes, appoint and remove committee members and office holders, approve the accounts, exercise all other relevant powers. Representatives must be invited to the AGM with at least four weeks' notice, which shall include the agenda and be signed by the chairman or secretary of the committee.
- All representatives shall have one vote each at any AGM. All resolutions, which may be proposed by any member or the committee and seconded by a member of the committee, shall be passed by a simple majority of the representatives present. The chairman of the meeting shall have a casting vote, if needed.
- Decisions of AGM's shall be recorded in a minute book to be kept by the secretary of TUES and shall be available for scrutiny on the TUES website.
- The association officers will become eligible for re-election every three years, unless there is no challenge for their position. No more than one third of the officers shall retire every year where possible, to ensure continuity. Officers leaving the company (or whose company leaves the Thales group) will automatically be deemed to have resigned from the committee. The committee shall have the power to coopt representatives and office-holders until the next relevant election.
Committee
- TUES shall be managed by a committee comprising: -
- The Association’s Officers
- Chairman
- Vice-Chairman
- Secretary
- Treasurer
- Divisional Representatives for each of Thales’ business divisions in the UK
- A representative for Ex-employees
- A Webmaster
- A UK Corporate management representative
N.B. It is envisaged that the normal maximum attendance at the quarterly meetings at would be 13, but as some roles are normally duplicated, in practice the attendance would be less.
- A quorum shall be six committee members.
- The committee will strive to ensure even representation from Thales UK companies and sites around the UK.
- Site representatives will support the Divisional Representatives in disseminating information to and from the sites around the UK.
- TUES Representatives can be nominated by current Representatives but if more than one candidate is available to fill any vacancy an election will be held amongst the appropriate constituency.
- Divisional Representatives must represent the interests of all the UK companies in their Division.
- The committee will select officers consisting of a chairman, vice-chairman, a treasurer and a secretary. In the absence of the chairman, a committee meeting will be chaired by one of the other officers. The office-holders do not necessarily have to be Business Group committee members.
- The committee shall normally meet no more often than quarterly.
- Committee decisions will be by simple majority and in need the meeting chairman will have a casting vote.
- The Committee’s Officers will form the TUES EXCO.
- The committee has full powers to run TUES. Day-to-day running of TUES will be delegated by the committee to the EXCO. Outside day-to-day matters, actions by TUES will require two committee members' signatures (of whom one shall be an officer).
- The chairman of TUES will be ex-officio a member of the FAST committee representing TUES.
- The TUES committee will communicate via email and/or website and by company-specific facilities.
- Committee members are unpaid.
Sundry
- TUES will act as channel for reimbursing from funds allocated by FAST (Federation of Associations of Staff Shareholders in Thales) any legitimate expenditure by representatives of TUES in carrying out their tasks.
- Representatives of TUES will be reimbursed by the Treasurer for any legitimate expenditure in carrying out their tasks from funds allocated annually by FAST (Federation of Associations of Staff Shareholders in Thales).
- Sign-off of expense cheques shall require one officer’s signature up to a limit of £100 and above that two officers’ signatures.
- TUES' financial year will run from January 1st to December 31st, and its accounts will be submitted to the AGM. The accounts will be checked by a qualified accountant, who is not a member of the committee.
- If TUES is to be dissolved, the committee of FAST will select the liquidators and set out their powers, including the returning to FAST of any funds held in surplus.
- TUES is not empowered to offer any financial advice.
